Seoul prosecutors raid offices of Orion Corp.

The Seoul Central Prosecutors’ Office raided the headquarters of Orion Corp., following allegations by the National Tax Service that the company’s chairman purchased shares of the group’s subsidiaries at below-market value.

The NTS alleges that Dam Chul-gon, the chairman, bought bonds with warrants issued by On Media Corp., Orion’s media affiliate established in 2000, to diversify his business portfolio.

He then used the bonds in 2005 to purchase 165,000 shares of On Media at below-market prices. In 2006, On Media went public and was listed on the Korean stock exchange.

Dam sold his On Media stake to CJ Group in June last year, which brought him a 200 percent profit, or about 8.7 billion won ($7.7 million).

The NTS suspects that Dam deliberately lowered On Media’s share price before his 2005 stock purchase.

Roughly 30 prosecutors and investigators raided eight other of the group’s subsidiaries yesterday, confiscating account books and hard disks.

Prosecutors said they will investigate whether Dam really lowered the price of On Media shares, effectively decreasing shareholders’ profits, and whether Dam paid taxes.

The NTS said it also requested investigation into whether the group raised slush funds by selling land to a construction company at a below-market price.

Prosecutors said they will finish scrutinizing the documents submitted by the NTS and begin an investigation into Dam at the end of March.

Orion Corp., which ranks 60th in assets among conglomerates nationwide, has interest in entertainment and confectioneries.

‘비자금 의혹’ 오리온그룹 압수수색

청담동 땅 팔며 매매가 조작
차액 40억 서미갤러리 맡긴 혐의
오리온그룹 “정상적인 거래”

서울중앙지검 금융조세조사3부(부장 이중희)는 22일 오리온그룹 담철곤(56) 회장의 비자금 조성 의혹과 관련해 서울 용산구 문배동 그룹 본사와 계열사 7곳을 압수수색했다.

담 회장은 회사 창업주인 고(故) 이양구 회장의 둘째 사위다. 이번 수사는 국세청이 지난해 8월 “오리온그룹이 현재 고급 빌라인 ‘청담마크힐스’가 세워진 강남구 청담동 부지를 시행사인 E사에 매각하는 과정에서 비자금을 조성한 의혹이 있다”며 검찰에 고발한 데 따른 것이다. 국세청은 담 회장이 수억원을 탈세했다는 의혹도 검찰에 통보한 것으로 알려졌다.

검찰과 국세청 등에 따르면 오리온그룹은 2008년 청담동 부지를 평당 3000만원대에 E사에 팔았다. ‘청담마크힐스’ 시공은 오리온그룹 계열사인 메가마크가 맡았다. 그러나 이 땅은 영동대교 남단에 위치해 평당 4000만원을 호가하는 것으로 알려졌다. 국세청은 오리온그룹 측이 싸게 판 것처럼 꾸며 40억원대의 차액을 조성한 뒤 국내 유명 화랑인 서미갤러리에 맡겨놓았다는 의혹이 있다고 보고 있다. 서미갤러리는 한상률 전 국세청장의 ‘그림 로비’ 의혹과 관련해 최근 검찰로부터 압수수색을 받은 바 있다.

오리온그룹 관계자는 이에 대해 “당시 거래된 땅은 창고 부지여서 대로 변에 위치한 땅보다 시세가 낮았다”며 “정상적으로 팔린 것이어서 문제될 게 없다”고 말했다.

한편 검찰은 담 회장이 2000년 6월 당시 그룹 계열사였던 ‘온미디어’가 발행한 신주인수권부사채(BW)를 사들여 지분을 얻는 과정에서 BW 행사가격을 낮게 책정해 부당 이득을 챙겼다는 의혹에 대해서도 조사를 하고 있다. 그러나 이미 10년이 지난 사안이라 큰 의미를 두지 않는 것으로 전해졌다.
