Samsung BioLogics executives strongly denied accusations that they had committed accounting fraud after it received a preliminary notice from financial regulators regarding a suspected breach. They told reporters that they would take an administrative suit against the Financial Supervisory Service (FSS) which announced preliminary findings after a year-long probe that sided with a local activist group questioning the company’s sudden profits after a four-year loss before going public in 2016. Samsung claimed that it has done nothing wrong and did not profit from accounting applications.

The struggle between the FSS and Samsung raises serious concerns for the government’s entire business policy. Since activists have been placed at the helm of economic policies under President Moon Jae-in, the government has slammed big businesses. Meanwhile, overseas activist funds are having a heyday. U.S. hedge fund Elliott is launching a lawsuit against the Korean government for its role in the 2015 merger between Samsung affiliates.

The government more or less has invited in vulture funds. Succumbing to pressure from the Fair Trade Commission, Hyundai Motor announced a multibillion-dollar scheme to simplify cross-affiliate structure. Elliott is aiming to block the deal to draw a scheme that can better benefit its own interest. It demands Hyundai Motor hand out half of its net profit in cash dividends if it wants the fund’s vote of approval for its reorganization plan.

Hyundai Motor and Samsung BioLogics are on their own facing the government as well as speculative overseas funds. The government stays oblivious to the cries of the business community and wants to revise the commerce law that can further empower foreign shareholders.

It is becoming harder and harder to do business in Korea. On top of the higher cost of management due to a slew of anticorporate policies, entrepreneurs also must fret about their ownership. Small merchants and self-employed businesses also are in trouble because they cannot afford the spike in wages. President Moon Jae-in, in his address on Labor Day, said all the fruits of growth should go to the laborers. As a result, the Korean economy is going the opposite direction of the global economy enjoying fast recovery in growth and employment. All the data in Korea — industrial output, investment, employment and exports — have turned negative. The economy cannot run if the corporate sector loses vitality. The government must tend to the economy immediately.

어제 삼성바이오로직스가 서울 대한상공회의소에서 자청한 기자회견 분위기는 땅이 꺼질 듯 무거웠다. 세 명의 삼성 측 관계자는 회견장을 가득 메운 기자들 앞에서 읍소하듯 말했다. 이날 긴급 기자회견은 참여연대의 문제 제기 이후 금감원이 “삼성바이오로직스에 대해 1년간 특별감리를 벌인 결과 분식회계 혐의가 있다”며 회사와 감사인에게 조치사전통지서를 통보한 데 따른 대응이다. 삼성 측은 “조금도 법규를 어기지 않았고, 회계 적용을 통해 얻은 이익도 전혀 없다”며 적극 반박에 나섰다.
이 문제는 작게 보면 금감원과 삼성 측의 다툼일 뿐이다. 하지만 큰 틀에서 보면 사태는 심각하다. 문재인 정부가 경제 민주화에 드라이브를 걸면서 국내 기업들의 경영권이 흔들리고 있기 때문이다. 사냥감을 노리고 있던 해외 벌처펀드는 이 기회를 놓치지 않고 있다. 2015년 삼성합병(삼성물산·제일모직)을 반대한 뒤 지분을 대량 처분해 차액을 챙긴 미국계 헤지펀드 엘리엇은 최근 노골적으로 국내 기업 사냥에 나섰다.
문제는 정부가 그 빌미를 제공하고 있다는 점이다. 공정거래위원회의 압박에 따라 현대차가 수조원을 들여 순환출자를 해소하기로 하자 엘리엇이 이 방안에 대한 반대 의견을 내놓으며 공격을 시작했다. 그러면서 배당률을 최고 50%로 올리라는 투기자본의 속내를 드러냈다. 삼성바이오로직스 사태는 더욱 심각하다. 문 정부가 삼성 합병 과정에서 국민연금이 개입한 것은 박근혜 정부의 적폐라고 몰아붙인 끝에 법원이 유죄 판결을 내렸기 때문이다.
엘리엇은 석 달도 안 돼 이 판결을 근거로 ‘투자자·국가 간 소송(ISD) 추진에 나섰다. 엘리엇이 삼성 합병 당시 반대를 주장했고, 정부와 법원이 국민연금의 부당한 개입을 인정했으니 엘리엇으로선 손해를 주장할 수 있는 근거를 확보한 셈이다.
현대차와 삼성바이오로직스는 안에서는 정부 압박을 받고 밖에서는 투기자본의 공격을 받는 진퇴양난의 처지에 빠졌다. 그런데도 정부는 집중투표제와 감사 분리선임제도를 도입하는 상법 개정을 통해 투기자본의 공략에 날개를 달아주려고 하고 있다. 국민연금은 정부 눈치를 살피며 상법이 개정되기도 전에 집중투표제를 시행할 수 있도록 의결권행사 지침을 바꿔버렸다. 이제 국내 기업은 미흡한 경영권 보호장치에다 국민연금이란 백기사마저 사라져 버렸다. 한마디로 해외 투기자본의 공격에 무방비로 노출되는 것이다. 소액주주 운동이 활발한 미국에도 차등의결권 같은 경영권 보호장치가 마련돼 있는 것과 대비된다.
국내 경영자들이 잠 못 이루는 밤이 늘고 있다. 숱한 반기업·반시장적 정책들로 기업 부담이 커진 마당에 경영권 불안까지 겹쳤기 때문이다. 자영업자들도 최저임금 인상으로 어려움에 빠져 있다. 여기에다 문 대통령은 그제 노동자의 날을 맞아 “모든 성장은 노동자를 위한 것이어야 한다”고 강조했다. 그래서인지 경제 현실은 자꾸 암울한 쪽으로 가고 있다. 생산·투자·고용에 이어 수출 전선까지 무너지는 불길한 통계치가 나오고 있다. 기업이 숨 죽이고 있으니 경제가 제대로 돌아갈 리 없다. 정부가 냉정하게 경제를 추슬러야 할 때다.
