Korean Air Lines, the country’s largest carrier, will acquire cash-strapped rival Asiana Airlines with the help of the state-run Korea Development Bank (KDB).

한국 최대 항공사인 대한항공이 자금난에 빠진 경쟁사 아시아나항공을 국영 산업은행의 도움을 받아 인수할 예정이다.

The new airline will become the world’s No. 7 carrier by capacity to transport passengers and cargo, according to 2019 IATA numbers provided by KDB.

산업은행이 국제항공운송협회(IATA) 자료를 바탕으로 발표한 내용에 따르면 새로 탄생하는 항공사는 여객 및 화물 운송 실적 기준으로 세계 7위의 항공사가 될 것이다.

On Monday, the bank announced that it will indirectly provide fi nancing to Korean Air Lines, which will use those funds and additional proceeds from a stock sale to buy a signifi cant stake in Asiana Airlines.

월요일 산업은행은 대한항공에 간접적으로 자금을 조달해줄 예정이라고 밝혔다. 대한항공은 산업은행의 지원금 및 유상증자를 통해 아시아나항공 상당량의 지분을 인수할 예정이다.

In the complex transaction, KDB will invest 500 billion won ($451.6 million) in Hanjin KAL and buy 300 billion won of the company’s exchangeable bonds. Hanjin KAL, which already owns 29.27 percent of Korean Air Lines, will buy 730 billion won of a 2.5-trillion-won share offering by the airline.

산업은행은 한진칼에 5000억원을 (유상증자 참여로) 투자하고 3000억원어치의 한진칼 교환사채를 사들일 것이다. 한진칼은 이미 대한항공의 지분 29.27%를 소유하고 있으며 대한항공이 발행할 2조5000억원 규모의 주식 가운데 7300억원어치를 매수할 예정이다.

The carrier will then use 1.8 trillion won of the newly raised capital to become the biggest shareholder of Asiana Airlines, by purchasing 1.5 trillion won of the airline’s new shares and 300 billion worth of perpetual bonds.

perpetual bond: 영구채. 만기를 연장할 수 있는 채권. 원금을 상환하지 않고 일정 이자만을 영구히 지급할 수 있다.

대한항공은 아시아나항공의 최대 주주가 되기 위해 아시아나항공이 발행하는 1조5000억원 어치의 신주와 3000억원어치의 영구채를 인수함으로써 총 1조8000억원 규모의 자금을 투입할 예정이다.

Hyundai Development Company, which agreed to acquire Asiana last December, agreed to pay 2.5 trillion won for the company before the deal fell through in September.

현대산업개발은 지난해 12월 아시아나항공을 인수하기로 하면서 2조5000억원을 지급하기로 했었다. 인수는 지난 9월 무산됐다.

“The latest decision was made out of concern that the normalization of Korea’s airline industry could be uncertain even after the pandemic without a fundamental improvement in competitiveness,” KDB said in a statement issued Monday. “The latest transaction will help the integrated airline have competitiveness on par with the global top 10.”

산업은행은 월요일 보도자료를 통해 “이번 결정은 근본적인 경쟁력 개선 없이는 코로나바이러스 대유행 이후 한국 항공 산업의 경쟁력을 확신할 수 없다는 우려에서 이뤄졌다”며 “이번 거래는 통합된 항공사가 글로벌 톱 10 항공사로서 경쟁력을 갖출 수 있도록 하는데 도움을 줄 것”이라고 말했다.

Budget carriers owned by the two airlines — Jin Air, Air Busan and Air Seoul — will be absorbed by the parent company and loyalty programs will be integrated.

As of last month, Asiana Airlines operated 81 aircraft and Korean Air 164. Revenues for the combined entity is estimated at 15 trillion won.

Labor unions of Korean Air Lines and Asiana Airlines jointly pointed out on Monday that the airline’s acquisition of its rival would generate unemployment concerns due to the
overlapping workforces.

대한항공과 아시아나항공 노조는 월요일 합동으로 대한항공의 아시아나항공 인수로 실업에 대한 우려가 발생할 것이라고 지적했다. 두 회사에 중복되는 인력이 있기 때문이다.

“The merger and acquisition agreed by KDB, the government and Hanjin KAL without including the opinions of workers must be withdrawn,” said the unions in a statement on Monday.

노조는 월요일 성명에서 “노동자들의 의견이 포함하지 않은 채 산업은행과 정부, 그리고 한진칼의 합의로만 이뤄진 인수합병은 철회돼야 한다”고 말했다.
